These Terms of Service ("Terms") govern your access to and use of Vlexor's website, desktop application, and related services (together, the "Service"), operated by Vlexor ("Vlexor," "we," "us," or "our"). By creating an account, or by accessing or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization as well as you personally.
1Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms. These Terms apply to every visitor, registered user, and other person who accesses the Service, whether or not they have created an account.
We may update these Terms from time to time as described in the "Changes to These Terms" section below. Your continued use of the Service after any update takes effect constitutes your acceptance of the revised Terms.
2Description of the Service
Vlexor is a command- and transcript-driven AI video editing platform. Rather than manipulating a manual timeline, you describe the edit you want in plain language, or delete words directly from an automatically generated transcript to cut the matching portion of your footage — the transcript functions as your timeline.
The Service is built around five core capabilities: the Command Engine, which turns a natural-language instruction into a validated, structured edit plan; Adaptive Style Memory, which learns your pacing, caption, and zoom preferences over time from your own usage on the Service (and which you may opt out of at any time); Pacing Clone, which lets you supply a reference video URL or description so that its extracted pacing rules can be applied to your own footage; Local Execution, described below; and Intent Prediction, which shows a live, speculative preview of the likely result while you are still typing a command.
Local execution and your footage: the actual rendering and processing of your video happens locally, on your own device, inside the Vlexor desktop application, using a version of FFmpeg that we bundle with that application. Your raw video and footage files are never uploaded to, or stored on, Vlexor's servers, for any editing operation the Service performs. This is a core design commitment of the Service, not merely a feature.
The one limited exception concerns transcription for the text-as-timeline feature. To produce a written transcript with timestamps, the desktop application uses its bundled FFmpeg to locally extract a small, transient, audio-only clip from your footage — never the video track itself — and sends only that audio extract off-device to our third-party speech-recognition provider for transcription. That audio extract is not retained after transcription completes; only the resulting text and timestamps are stored as part of your project afterward.
The Service, its features, and the specific AI models or providers used to power them, may change over time as described in "Service Availability, Modifications, and Termination" below.
3Eligibility and Account Registration
You must be at least 16 years old to create a Vlexor account. If the law applicable to you requires a higher minimum age to consent to use of an online service without parental or guardian permission, you must meet that higher age, or have the requisite consent, before using the Service.
When you register, you agree to provide accurate, current, and complete information, and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you authorized it. Notify us promptly at the contact address below if you become aware of any unauthorized use of your account.
You may sign in using an email address and password, or through a supported third-party identity provider (currently Google, X/Twitter, or Slack). Authentication is handled by our infrastructure provider, Supabase; your use of a third-party sign-in option is also subject to that provider's own terms and privacy practices, over which we have no control.
Accounts are personal to the individual or organization that registered them and may not be sold, transferred, or shared to circumvent plan limits or seat counts.
4Acceptable Use Policy
You agree not to use the Service, including its AI-assisted features, to do any of the following:
Upload, edit, generate, or distribute content that is illegal, defamatory, obscene, or that infringes another person's intellectual property, privacy, or publicity rights;
Create or process non-consensual intimate imagery, child sexual abuse material, or any content that exploits, endangers, or sexualizes minors;
Attempt to circumvent, disable, or interfere with security features, authentication, or usage metering, including your plan's monthly AI-editing-minutes cap;
Use automated means — bots, scripts, scrapers — to access the Service outside of any interfaces we publish, or to extract, reverse-engineer, or replicate the underlying models, prompts, source code, or design system;
Submit commands or prompts designed to manipulate the Command Engine or any other AI feature into producing harmful, deceptive, unlawful, or abusive output;
Resell, sublicense, rent, or provide access to the Service to any third party without our prior written consent, except as expressly permitted by your plan;
Upload malicious code, or attempt to gain unauthorized access to another user's account, project, or footage;
Interfere with or disrupt the integrity or performance of the Service or the data it contains.
We reserve the right to investigate suspected violations of this policy and to remove content, and to suspend or terminate accounts, in accordance with "Service Availability, Modifications, and Termination" below.
5User Content and Ownership
You retain all ownership rights in the footage, audio, transcripts, commands, projects, and exported videos you create or process using the Service ("User Content"). Vlexor does not claim ownership of your User Content.
You grant Vlexor a limited, non-exclusive, worldwide license to host, store, and process your User Content solely to the extent necessary to operate, maintain, and provide the Service to you — for example, to store your project metadata, transcripts, and command history, and, where applicable, to transmit the limited text or audio extracts described in "Third-Party Services" below to our AI and transcription providers strictly to generate the edit you requested. This license ends when you delete the relevant content or close your account, except for residual copies retained for a limited period in backups, as described in our Privacy Policy.
You represent and warrant that you own, or hold all rights, licenses, and permissions necessary in, your footage and any reference material you provide, and that your use of the Service and your User Content do not infringe or violate the rights of any third party.
We may remove or disable access to User Content that we reasonably believe violates the Acceptable Use Policy above or applicable law.
6Subscriptions, Billing, and Refunds
Vlexor offers paid subscription tiers — currently Pro, Pro+, and Max — each with its own monthly cap on AI-editing minutes, along with one-time credit-pack top-ups that can be purchased to cover usage beyond your plan's monthly cap. Current plans, features, and pricing are described on our pricing page and may change as described below.
All billing, payment processing, and applicable tax collection and remittance for subscriptions and credit packs is handled by Polar, acting as merchant of record. Vlexor itself never receives or stores your payment card details. By subscribing or making a purchase, you also agree to Polar's own terms of service and privacy policy governing that transaction.
Subscriptions renew automatically at the end of each billing period, at the then-current price for your plan, unless you cancel before the renewal date. You can cancel at any time; your paid access continues through the end of the period you already paid for, without a prorated refund for the unused portion, except where required by applicable law.
Fees for subscriptions and credit packs are generally non-refundable, except where required by applicable law or as we expressly state at the time of purchase. Credit-pack minutes, once consumed, are non-refundable.
We may change our prices or plan structure from time to time. For existing subscribers, we will provide reasonable advance notice before a price change takes effect on your next renewal.
If a payment fails or a chargeback is initiated, we may suspend your access to paid features until the matter is resolved.
7Intellectual Property
The Service — including its software, user interface, design system, the Command Engine and its underlying prompts and configuration, and the Vlexor name, logo, and other trademarks — is owned by Vlexor or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. Nothing in these Terms grants you any right, title, or interest in the Service's underlying intellectual property beyond that limited license.
If you submit feedback, suggestions, or ideas about the Service, you agree that we may use them without restriction or compensation to you.
8Third-Party Services
Providing the Service relies on a small number of third-party providers, each used for a specific, limited purpose:
Supabase provides our authentication and database infrastructure, hosted in the eu-central-1 region, and stores your account information and project data (such as project metadata, transcripts, and command history — never your raw video files).
Anthropic and OpenAI, both based in the United States, provide the AI models that power the Command Engine, Adaptive Style Memory, and Pacing Clone. Only command text, transcript text, and pacing-analysis text or reference URLs that you submit are sent to these providers — never your raw video or footage. Light, latency-sensitive tasks are routed to a faster, lower-cost model; heavier tasks, such as full edit-plan generation or style analysis, are routed to a more capable frontier model.
OpenAI's Whisper model is used to transcribe the small, transient, audio-only extracts described in "Description of the Service" above, for the text-as-timeline feature.
Polar acts as merchant of record for all subscription billing, payment processing, and tax handling, as described in "Subscriptions, Billing, and Refunds" above.
Google, X (Twitter), and Slack are available as optional third-party sign-in providers, at your choice, as described in "Eligibility and Account Registration" above.
Because Anthropic and OpenAI are based in the United States while our primary infrastructure is hosted in the European Union, using AI-assisted features involves transferring the relevant text (command text, transcript text, or pacing-analysis text and URLs — never raw video) across borders, from the EU to the US. By using these features, you consent to that transfer, as described in more detail in our Privacy Policy.
We select third-party providers that we believe maintain appropriate security and confidentiality practices, but we are not responsible for the acts, omissions, or service interruptions of any third-party provider.
9Service Availability, Modifications, and Termination
We provide the Service on an "as available" basis and may add, change, or remove features — including specific AI models or providers, and plan minute caps — at any time. Where a change is material, we will use reasonable efforts to notify affected users in advance.
We may suspend or terminate your account or access to the Service, with notice where practicable, if you breach these Terms, we reasonably suspect unlawful or abusive use, your payment fails and remains unresolved, or your account has been inactive for an extended period.
You may close your account at any time from within the Service. Account deletion permanently removes your account and associated data in accordance with our Privacy Policy.
Sections of these Terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law and Venue — will survive any termination or expiration of these Terms.
10Disclaimers
The Service, including any AI-generated edit plans, style analyses, pacing recommendations, transcripts, or previews, is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated output will be accurate, complete, or suitable for your intended use without your own review. You are responsible for reviewing any AI-assisted edit before publishing or relying on it.
11Limitation of Liability
To the maximum extent permitted by applicable law, Vlexor and its officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your access to or use of, or inability to access or use, the Service, however caused and under any theory of liability.
To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
12Indemnification
You agree to defend, indemnify, and hold harmless Vlexor and its officers, employees, and licensors from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or relating to your User Content, your violation of these Terms or the Acceptable Use Policy, or your violation of any right of a third party.
13Governing Law and Venue
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of [Jurisdiction], without regard to its conflict-of-law principles. You and Vlexor agree to submit to the exclusive jurisdiction of the courts located in [Jurisdiction] for any dispute not resolved under "Dispute Resolution" below.
14Dispute Resolution
If you have a dispute with us, please contact us first at the address below so we can try to resolve it informally and in good faith. We will make reasonable efforts to respond and work toward a resolution within thirty (30) days.
If a dispute cannot be resolved informally, it will be subject to the governing law and exclusive venue described in "Governing Law and Venue" above.
15Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page, and, for changes we consider material, we will provide additional notice — for example, by email or an in-product notice — before the change takes effect.
Your continued access to or use of the Service after a revised version of these Terms takes effect constitutes your acceptance of the revised Terms. If you do not agree to a revision, you should stop using the Service and, if you wish, close your account.
16Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vlexor regarding the Service and supersede any prior agreements on this subject. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only and have no legal effect.
